By signing up to Teachmate you agree to the following Terms and Conditions. These Terms and Conditions apply to individual subscriptions and whole school subscription users. Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Teachmate website (the "Service") operated by TeachMateAI LTD ("us", "we", or "our"). These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.
1. About TeachmateTeachmate is the trading name of TeachMate AI LTD, a company registered in the United Kingdom under company number 14972646, with a registered office at High Royd Business Services Limited, BBIC, Innovation Way, Barnsley, S75 1JL. 2. Changes to TermsWe reserve the right to modify or replace these Terms and Conditions at any time, at our sole discretion. Any changes to the Terms will be posted on this page, and the "Last Updated" date at the top of the page will be updated accordingly. It is your responsibility to periodically review these Terms and Conditions for changes. Your continued use of the Service following the posting of any changes signifies your acceptance of those changes. If you do not agree with the new Terms, please discontinue using the Service.
3. Subscription, Fees, and UsageBy subscribing to the Service, you agree to pay the monthly or annual fee as stated on our website. This fee grants you access to the Service for the duration of your subscription. Our aim is not to restrict individual users from using the service; however, users must adopt ‘fair use’ behavior. Image based tools may have a quota on use which refreshes every 28 days, the remaining quota is displayed by 'Unused Quota' on such tools. We reserve the right to immediately terminate any account that uses the tools in a manner we consider excessive. Likewise, we reserve the right to terminate any account without notice if we believe multiple persons are using a single account.
4. AccountsWhen you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account. Sharing account credentials is strictly prohibited, and accounts found to be in violation of this rule will be subject to immediate suspension or termination.
5. User ConductYou agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Service. Prohibited behaviors include, but are not limited to:
- Uploading, posting, or transmitting any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
- Uploading any content that contains viruses, worms, or other malicious code.
- Jailbreaking the AI models used on the site, so that tools do not operate as intended.
We reserve the right to terminate or suspend accounts that violate this clause without notice.
6. AI Accuracy and LimitationsWhile we strive to provide accurate and helpful information through the use of large language models, we do not guarantee the accuracy, completeness, or usefulness of any information generated by the AI. You acknowledge that the AI-generated content may contain errors, omissions, or inaccuracies, and you agree to use the Service at your own risk. We are not responsible for any decisions or actions taken based on the AI-generated content, and we disclaim any liability for damages or losses resulting from your reliance on the AI-generated content.
7. Indemnity ClauseYou agree to indemnify, defend, and hold harmless TeachMateAI LTD, its directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party rights, including but not limited to intellectual property rights.
8. Limitation of LiabilityIn no event shall TeachMateAI LTD, its directors, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, or goodwill, whether arising from your use of the Service or for any other claim related in any way to your use of the Service. Our liability is limited to the amount you have paid to TeachMateAI LTD for use of the Service in the 3 months prior to the event giving rise to the claim.
9. Data Protection and PrivacyYour privacy is important to us. We use your personal information to provide you with the products you have requested. We act as data controller in relation to the information you provide to us to set up and manage your account, in which case our Privacy Policy applies, which can be found at
https://teachmate.com/privacy-policy. In relation to any personal data contained within your inputs into our tools, we act as a processor, and the terms of our Data Processing Agreement apply, which can be found at
https://teachmate.com/data-processing-agreement.10. Intellectual PropertyThe Service and its original content, features, and functionality are and will remain the exclusive property of TeachMateAI LTD and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TeachMateAI LTD.
Ownership of User-Generated Resources: Any educational resources, materials, or content that you generate using the tools provided by Teachmate remain your property. TeachMateAI LTD does not claim ownership or copyright over the content that you create and upload to the platform. You retain all rights to use, distribute, and modify your content as you see fit, outside of the platform.
11. TerminationWe may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We also reserve the right to terminate or suspend accounts that have been inactive for a period of 6 years, at our sole discretion. If your account is terminated for inactivity, any stored data may be deleted, and your subscription will not be refunded. 12. Refund and Cancellation PolicyRefunds for subscription fees will be issued only under the following conditions:
- Monthly Subscriptions: If you cancel within 14 days of the first payment and have not accessed any Pro tools, you are entitled to a full refund. After 14 days, no refunds will be given, and access will continue until the end of the billing period.
- Annual Subscriptions: If you cancel within 30 days of payment and have not accessed any Pro tools you are entitled to a full refund. If Pro tools have been accessed, or if more than 30 days have passed, no refunds will be given, and access will continue until the end of the subscription period.
- School Subscriptions: If you cancel within 30 days of payment and no teachers within the school subscription have accessed any Pro tools you are entitled to a full refund. If Pro tools have been accessed, or if more than 30 days have passed, no refunds will be given, and access will continue until the end of the subscription period.

13. Force MajeureTeachMateAI LTD will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms caused by events outside our reasonable control, including but not limited to acts of God, war, terrorism, strikes, floods, fire, pandemics, or governmental action.
14. International Use and Legal ComplianceTeachmate operates under the laws of the United Kingdom. If you access the Service from outside the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. TeachMateAI LTD makes no representations that the Service or any content available through it is appropriate or lawful for use in other locations.
15. Third-Party Services and LinksThe Service may contain links to third-party websites or services that are not owned or controlled by TeachMateAI LTD. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that TeachMateAI LTD will not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with your use of any third-party website or service.
17. Rewards and IncentivesTeachMateAI LTD may from time to time offer rewards or incentives for the use of the Service. The availability and terms of such programs will be determined at our sole discretion and may be altered or withdrawn at any time without notice. Any rewards or incentives provided are non-transferable and may not be exchanged for cash.
18. Age Restrictions You must be 18 years or older to create an account and use the Service.
19. Content Moderation and RemovalWe reserve the right, but not the obligation, to monitor and remove content posted to our affiliated social media groups or uploaded by users that violates these Terms or that we deem inappropriate or offensive. We may, at our sole discretion, terminate or suspend any account for violation of these Terms, without notice or liability.
20. Governing Law and JurisdictionThese Terms shall be governed and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
